Terms and Conditions of Sale

The purchaser hereby acknowledges that the sale will be subject to the following terms and conditions:

1. All payments will be due 30 days from statement. A 2.5% settlement discount is allowed for payment received by the 25th day of the month following delivery.
2. All prices including prices on orders not yet executed, will remain subject to change until date of delivery.
3. Interest will be payable on all outstanding amounts which are due and payable calculated at the rate of 2.5% per month, capitalized monthly. Any amounts due to the company which are outstanding longer than 60 days following the month of delivery will render the account delinquent and the company reserves the right to suspend outstanding orders and/or modify future discounts and/or payment terms.

In the respect of all goods sold to the purchaser by the seller

1. Ownership will remain vested in the seller until payment of the full purchase price is received by seller.
2. The goods will remain moveable property despite the intention and means to install the goods; and
3. The risk will pass to the purchaser on delivery or date of purchase, whichever occurs first.
4. The purchaser shall be precluded from raising any complaints or grounds of dispute in writing within 10 days from date of the relevant invoice.
5. Claims for shortages must be made in writing within 2 days of receipt of the order.

In the respect of all goods returned to the seller by the purchaser.

1. Goods sold will not be returnable except at the option of the seller on such terms and conditions as the seller in its sole discretion may determine.
2. Goods may only be returned with our written consent.
3. Carriage/ Transport must be paid by the purchaser.
4. The invoice number against which the goods were originally supplied must be quoted.
5. We reserve the right to charge a 20% handling fee.
6. Return of goods within 14 days from receipt of consent from MACS.
7. MACS is limited to the replacement or credit for any defective item, and shall in no event be liable for any direct, indirect or consequential damage howsoever rising.
8. The purchaser will be liable for all legal costs and other expenses incurred by the seller in relation to any contract between the purchaser and the seller, including all costs on the sale as between attorney and own client, collection commission and tracers charges.

If the purchaser institutes any action against the seller, or defends any action by the seller, the purchaser shall pay R5 000,00 into Court or furnish security for costs in the amount of at least R5 000,00.

The purchaser specifically agrees that it will not be necessary for the seller to furnish any security in terms of Rule 62 of the magistrates Court Act.
